1. Scope of Services

NexGen AI Systems provides services including but not limited to:

• AI chatbot systems
• AI conversation automation
• CRM systems
• Lead generation systems
• Website design and development
• Automation workflows
• Review automation systems
• Marketing integrations
• Booking systems
• Communication automation

All services are delivered digitally and hosted on infrastructure controlled by NexGen AI Systems.

2. Setup Fees (Strictly Non-Refundable)

All setup fees charged by NexGen AI Systems are strictly non-refundable under any circumstances.

The setup fee covers:

• System architecture
• AI system configuration
• Website design and development
• CRM setup
• Automation workflows
• Integrations with third-party platforms
• Testing and deployment
• Technical labour and development time

Due to the custom nature of these systems and the immediate allocation of development resources, once payment has been made the setup fee cannot be refunded, regardless of whether the Client chooses to continue with services.

3. Monthly Platform, Hosting & Infrastructure Fee

All websites and AI systems built by NexGen AI Systems require ongoing infrastructure and platform hosting.

A mandatory platform and hosting fee of £100 per month applies.

This monthly fee covers:

• Website hosting
• Server infrastructure
• AI system hosting
• CRM hosting
• Automation infrastructure
• Security maintenance
• Software updates
• Server performance monitoring
• System uptime monitoring
• Technical support infrastructure
• Basic SEO configuration
• Data processing and storage

Failure to maintain an active subscription may result in immediate suspension or removal of services.

4. Payment Terms

All payments are due in advance.

The Client agrees to pay:

• Setup fees prior to work commencing
• Monthly subscription fees in advance of each billing cycle

Late or missed payments may result in:

• Suspension of services
• Removal of website hosting
• Deactivation of AI systems
• Suspension of CRM access
• Removal of automation workflows

NexGen AI Systems reserves the right to disable or remove services without notice if payment obligations are not met.

5. Cancellation Policy

Clients may cancel services at any time, however the following conditions apply.

To cancel services the Client must:

1. Provide written notice of cancellation.
2. Pay a mandatory cancellation fee equivalent to one month of service (£100).
3. Pay the final active month of hosting and infrastructure (£100).

Total minimum cancellation charge: £200.

Cancellation will not take effect until all outstanding balances are settled.

This policy covers the administrative, technical, and infrastructure costs associated with system decommissioning.

6. Website & System Ownership

All systems developed by NexGen AI Systems remain part of NexGen AI infrastructure unless otherwise agreed in writing.

This includes but is not limited to:

• Website frameworks
• CRM systems
• Automation workflows
• AI agents
• AI chatbot systems
• Snapshots and templates
• Integrations
• Platform configurations

Clients are granted limited usage rights while their subscription remains active.

Upon cancellation or termination:

• Hosting services will cease
• Systems will be deactivated
• AI functionality will stop
• CRM access may be revoked

Transfer or migration requests may incur additional fees and are not guaranteed.

7. Intellectual Property

All intellectual property developed by NexGen AI Systems remains the property of NexGen AI Systems.

This includes:

• Automation frameworks
• AI system structures
• CRM architecture
• Marketing frameworks
• Development templates
• Platform configurations
• Scripts and integrations

Clients may not copy, reproduce, resell, or redistribute NexGen AI Systems technology or systems without written permission.

8. Third-Party Services

NexGen AI Systems may integrate third-party services including but not limited to:

• Hosting platforms
• CRM platforms
• AI platforms
• Messaging providers
• Payment processors
• External software providers

NexGen AI Systems is not responsible for outages, pricing changes, or policy changes made by third-party providers.

9. Performance Disclaimer

While NexGen AI Systems builds systems designed to improve lead generation and operational efficiency, no guarantee of business results can be made.

This includes but is not limited to:

• Lead volume
• Sales conversions
• Revenue increases
• Search engine rankings
• Marketing performance

Business performance depends on multiple factors outside NexGen AI Systems' control.

10. Limitation of Liability

To the fullest extent permitted by law, NexGen AI Systems shall not be liable for:

• Loss of revenue
• Loss of profits
• Loss of business opportunities
• Data loss
• Third-party service failures
• Internet outages
• Platform downtime

Total liability shall not exceed the total fees paid to NexGen AI Systems within the previous 30 days.

11. Suspension or Termination

NexGen AI Systems reserves the right to suspend or terminate services if:

• Payments are missed
• The Client breaches these terms
• Systems are misused
• Illegal activity is suspected

No refunds will be issued in such circumstances.

12. Modifications to Services

NexGen AI Systems reserves the right to:

• Modify services
• Improve systems
• Update software
• Alter infrastructure

Without prior notice if necessary for operational improvements.

13. Changes to Terms

These Terms & Conditions may be updated periodically.

Continued use of NexGen AI Systems services constitutes acceptance of the updated terms.

14. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

15. Agreement

By purchasing services from NexGen AI Systems, the Client confirms they:

• Have read these Terms & Conditions
• Understand these Terms & Conditions
• Agree to be bound by these Terms & Conditions
